Is ALFRED L. ODOM, Secretary of the Town of Westlake,
----Texas, an incorporated towno duly organized and existing under
the laws of the State of Texas, do hereby certify that I am
keeper of the records and minutes of the proceedings i of the
Beard of Aldermen of said Town, and that on the 8th day of Feb-
ruary, 1958, there was duly and legally held a meeting of said
Board of Aldermen, at which a quorum of the Aldermen en was present
and acting throughouto and at said meeting the following resolu-
tions
tion e unanimously adopted:
RESOLVED, That Mercantile National Bank At Dallas,
hereinafter called "Bank," is hereby designated as a
depository of this Town and that a checking account or
accounts shall be established in the name of this own
with Bank, sander and subject to the rules d rge;;ulati on
as from time to time prescribed by Barak wherein may be
deposited any of the funds of this Town whether th pre ted
by cash, checka, notes or other evidences of debt and from
which withdrawals are hereby by au.thori ed in the name of the
Town, when signed by bath the Mayor r and the Treasurer of
the Town. Endorsements for deposit array be written or
tamped endorsement of the Town without designation of the
party ma rag the endorsement.
FURTBER RESOLVEDO That Bank is hereby authorized t
honor any and all withdrawals of the Town's fund.a payable
to the officer or agent signing, or countersigninG the
same, or payable to Bank$ whether such withdrawals a e
ele ted. for cash or for credit to the personal account
of such officer or agent or the person presenting the acme,
and Bank need make no Inquiry concerning any such item.
FURTIMR RESOLVED, That the Secretary shall certify
to Barak the names of the p , se t ,y duly elected and quali-
fying

fying officers of this gown authorized hereunder o and stall
from time to time hereafter,,, as changes in the par e¢ nel of
said officers and persons authorized hereunder are made, im-
mediately Mately certify in writing such changes to Bank, and Bnic
ahall be fully protected in relying on such written ton certifi,cations of the Secretary and shall be indemnified and saved
harmle a from any claims, dands, expenses, losses or damages
resulting from or growin "e t of honoring the zignature of
any peri ons so certified or refusing ng to honer anysignature,,
not so certified.
FURTBER RESOLVEDO That Barak is hereby authorized and
requoated to continue to rely upon these resolutions and the
authority granted herein until written notice of any amm.? . dent ;
change revocation has been delivered to the Cashier of
Bank and: uratil he shall have acknowledged receipt of the aame

action taken by Bank prior to the execution by `tie Cashier of
