RESOLUTION NO. 01-55
A RESOLUTION OF THE TOWN OF WESTLAKE, TEXAS, AUTHORIZING THE
TOWN MANAGER TO EXECUTE DOCUMENTS AND AGREEMENTS RELATIVE
TO THE TROPHY CLUB/WESTLAKE DEPARTMENT OF PUBLIC SAFETY;
PROVIDING FOR AN EFFECTIVE DATE; AND PROVIDING A SAVINGS CLAUSE
WHEREAS, the Town of Westlake, Texas ("Westlake") the Town of Trophy Club
("Trophy Club"), and the Trophy Club MUDS have previously entered into a Contract for Trophy
Club/Westlake Department of Public Safely (the "Contract"); and
WHEREAS, the Contract provides that the allocation therein should yield a fair and
equitable distribution of Department expenditures among the participating entities; and
WHEREAS, the DPS Board, Westlake, and Trophy Club have determined that the
current Contract does not currently yield a fair and equitable distribution of the expenditures; and
WHEREAS, Westlake has concluded that it is in the best interests of the Town of
Westlake and its citizens to amend the Contract to create a more fair and equitable division of
expenditures; and
WHEREAS, conceptual agreement to the terms and conditions for the amendment of the
Contract has been negotiated among the parties; and
WHEREAS, the execution of an amended contract is time sensitive; and
WHEREAS, Westlake has concluded that the proposed new Contract meets the Town of
Westlake's DPS needs and will be subject to the Town Manager's review and approval of the
cost allocation documents referred to as Exhibit C.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
TOWN OF WESTLAKE, TEXAS:
SECTION 1: That all matters stated in the preamble are found to be true and correct and
are incorporated herein as if copied in their entirety.
SECTION 2: That the Town Manager is hereby authorized to execute a new Contract
which is more equitable to the Town, along with any and all other ancillary or related documents
necessary to that end, provided the documents include the following:
A. The Town of Westlake shall retain at least fifty percent (50%) of the votes on the DPS
Board.
B. The term of the Contract shall be shortened and Westlake shall be provided the
ability, at its sole discretion, to terminate the Contract, without penalty, upon giving
one (1) year's written notice.
SECTION 3: The Town Manager is hereby authorized to issue notice of termination of
DPS services on December 30, 2001 if necessary.
SECTION 4: If any provision of this Resolution shall be held invalid or unconstitutional,
then the remainder of the Resolution shall remain in effect as if separately enacted.
PASSED AND APPROVED ON THIS 10" DAY OF DECEMBER, 2001.
