MINUTES OF THE MEETING OF
THE BOARD OF DIRECTORS OF THE
TEXAS STUDENT HOUSING AUTHORITY
(AN INSTRUMENTALITY OF THE TOWN OF WESTLAKE)

PRESENT: Board members Scott Bradley. Rich Mueller, James Krekow, Katie
Kolkmeier and Executive Director Tracy Harrow. Not Present: Mark
Harrow and Paula Petersen.
1. CALL TO ORDER.
President Scott Bradley called the meeting to order at 6:37 pm.
2. REVIEW AND CONSIDER APPROVAL OF MINUTES FOR THE MEETING HELD
AUGUST 17, 2022.
DISCUSSION: Director Mueller made a motion to approve the minutes of the August
17, 2022 meeting. Director Krekow seconded the motion. The motion
carried unanimously.
3. UPDATE FROM EXECUTIVE DIRECTOR ON SCHOLARSHIPS AND OCCUPANCY
FOR FALL 2022.
DISCUSSION: Executive Director Harrow provided an update on the scholarships and
occupancy at Cambridge Hall for Fall 2022. 40 TSHA scholarship
students have signed a lease at Cambridge Hall, and there is a total of
14.93% occupancy for Fall 2022. No action taken.
4. UPDATE FROM EXECUTIVE DIRECTOR REGARDING RENOVATIONS TO
CAMBRIDGE HALL.
DISCUSSION: Executive Director Harrow provided an update on the renovations to
Cambridge Hall, including that the west wing renovations will be
completed on December 15. Then, the east wing renovations will begin
and be completed by June 2023. No action taken.

The Board moved into recess at 6:45pm. The board came back into
session at 7:01pm.
S. EXECUTIVE SESSION
The TSHA Board convened into executive session at 7:02 pm to conduct a closed session
pursuant to Texas Government Code, Annotated, (1) Chapter 551,
Subchapter D.
Section 551.071 for the following: 1) Consultation with an attorney
whereby the Board seeks advice about the Bank of New York litigation
and 2) Consultation with an attorney whereby the Board seeks advice
on possible arbitration with ACC on alleged funds owed after
management departure.
Section 551.074(a)(1): Deliberation Regarding Personnel Matters — to
deliberate the appointment, employment, evaluation, reassignment,
duties, of a public officer or employee: Executive Director.
6. RECONVENE MEETING.
President Bradley reconvened the meeting at 7:20 pm.
7. TAKE ANY ACTION, IF NEEDED, FROM EXECUTIVE SESSION
DISCUSSION: Director Mueller made a motion to increase the salary of the Executive
Director 10% to $132,000 mirroring pay raises provided to Town of
Westlake employees during the years of 2020 (3%), 2021 (3%), and
2022 (4%) and in alignment with the range of Executive Director
salaries for non -profits in the state of Texas ($125,000 to $189,000).
This raise would be retroactive to September 1, 2022 to align with the
beginning of TSHA's fiscal year and in future years an annual review of
the Executive Director's salary will occur every year in August prior to
approving the fiscal year's final budget. The motion was seconded by
Director Krekow. The motion carried unanimously.
8. ADJOURNMENT
President Bradley adjourned the meeting at 7:26 pm.
APPROVED by the Texas Student Housing Authority Board of Directors on
2023.
