FILED BY MAGUIRE PARTNERS SOLANA LIMITED PARTNERSHIP. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE TOWN OF WESTLAKE, TEXAS: SECTION 1: The Board of Aldennen of the Town of Westlake, Texas, does hereby approve an application for the replatting of 55.397 acres located at 2 Kirkwood Blvd. to divide the original lot to separate the Boy Scout building. To provide for the potential sale of the Boy Scouts Tract, Maguire provides as follows: ApPLTRTENANT RIGHTS 1. The rights, easements andrestrictive covenants set forthherein shall run with the land and exist for the benefit of the present and future owner or owners of the Property and the Boy Scouts Tract. The restrictive covenants, easements and parking rights and privileges granted herein are appurtenant to Lots IRI, 2R and the Boy Scouts Tract. DRIVEWAY EASEWNT 2. The owner or owners of each of Lot IR1, Lot 2R and the Boy Scouts Tract and each of their tenants shall have a perpetual, non-exclusive easement and right of -way for the purpose of ingress and egress, over, across and upon the driving lanes located in the parking areas ftom time 1 4w4567.1:15Q315551 &01021091520011 to time on both the Property and the Boy Scouts Tract as presently described in Exhibit "E" attached hereto and incorporated herein by reference for all purposes (the "Driveway Easement")for the benefit of such owners, their tenants, and such owner's and tenants' customers, employees, business invitees, licensees, contractors and subcontractors. The Driveway Easement may be relocated from time to time by the owner of Lot 1 RI, and at the owner of Lot 1Rl's expense, in connection with the development or redevelopment of Lot 1R1 by its owner so long as the owner or tenant(s) in the building on the Boy Scouts Tract has daily vehicular access to and from the building on the Boy Scouts Tract across Lot 1R1 to Kirkwood Boulevard and Sam School Road- m-mAL PARKING RIGHTS 3. The owner or owners of the Boy Scouts Tract, its tenants and such owners' and tenants' customers, employees, business invitees, licensees, contractors and subcontractors shall have a perpetual, non-exclusive easement and right to park up to Thirty-four (34) personal automobiles in the area shown as the "Mutual Parking Area" as outlined on Exhibit "D" attached hereto and incorporated herein by reference for all purposes, which Mutual Parking Area includes the parking area within the Boy Scout Tract and the remaining portion of one of the parking lots within Lot 1 RI. The owner of the Soy Scouts Tract may designate up to fifteen (I 5)spaces as reserved in the area within the Boy Scouts Tract as shown on Exhibit 'T" through the use of signage, approved by Maguire, its successors and assigns, designating such spaces "Reserved between the Hours of 8:00 a.m. and 5:00 p.m." on such spaces. The owner(s)of the Property, their tenants, and such owner' (s) and tenants' customers, employees, business invitees, licensees, contractors and subcontractors shall have the right to park in the Mutual Parking Area as well. The owner of Lot 1R1 may designate up to twenty (20) spaces as reserved in the area adjacent to the retail building within Lot 1R1 as shown as Exhibit "D" through signage identifying such spaces as "Reserved." 569567.I2Mp31555181070J09l52000 2- 4. Nothing herein shall be interpreted to prevent, restrain or inhibit construction of buildings or improvements in or upon all or any portion ofthe Property including, without limitation, the portion ofthe Mutual Parking Area within Lot l R1, which construction may be undertaken from time to time. The parties understand that the Mutual Parking Area contains approximately One hundred four (104) parking spaces including both the parking spaces within the Boy Scouts Tract and the portion of Lot 1R1 shown, on Exhibit "D". The owner or owners ofthe Property, and its or their employees, contractors, subcontractors, tenants, business invitees, and licensees and the ees, licensees, contractors and subcontractors of its tenants shall. have the employees, business invit right to park within the Mutual Parking Area as same may exist or be reconstructed, altered, changed or modified from time to time. 5. Nothing herein shall be construed to permit any party negligently or deliberately to drive or park vehicles in such a manner as to damage the business of any other entity having rights of occupancy in and to any portion of the Property or the Boy Scouts Tract 6. The owner ofthe Bey Scouts Tract may not make any changes in the Mutual Parking Area without the prior written approval of the owner of Lot 1RL The owner of Lot 1R1 may make he Mutual Parking Area without the prior approval. of, but changes, alterations, or modifications in t after consultation with, the owner of the Boy Scouts Tract so long as (i) the area within the Boy Scouts Tract which is currently within the Mutual Parking Area remains a parking area and (ii) appropriate provision is made for parking up to fifteen (1 5) passenger automobiles by the owner or tenant ofthe Boy Scouts Tract on a short -and long-term basis substantially within that portion of Lot 1R1 which is currently within the Mutual Parking Area. 7. The owner of Lot IRI shall be responsible for the maintenance and repair of the Mutual Parking Area, including landscaping. The owner of'Lot 1R1 shall advise the owner of the 569567.12JSP3l55S18101D2f09lS2OQ0 3 Boy Scouts Tract of the maintenance and repair of the Mutual Parking Area that the owner of Lot 1R1 deems necessary or appropriate from time to time. The owner of Lot 1R1 shall submit a bill with backup documentation for such maintenance and repair to the owner of the Boy Scouts Tract for the owner of the Boy Scouts Tract's pro rata share of such costs which the owner of the Boy Scouts Tract shall pay tothe owner ofLot 1R1 within thirty (30) days after delivery of suchbiil. The Boy Scouts Tract's "pro rata" share shall be determined as a fraction the numerator of which is 34 and the denominator of which is the total number of parking spaces in the Mutual Parking Area. RESTRICTIVE CaVENANTS 8. All buildings on the Boy Scouts Tract shall not exceed 10,500 gross square feet in area. The owner of Lot 1 R1 shall have the right to approve any changes, alterations or modifications in the external appearance of the building on the Boy Scouts Tract as it is the intent of Maguire, its successors and assigns, that the appearance of the building on the Boy Scouts Tract should enhance, and not detract from, the general appearance of Solana. The plans and specifications for any proposed change, alteration or modification in the exterior appearance of the building or improvements on the Boy Scouts Tract must be submitted in writing to the owner of Lot 1R1 for approval prior to making any such change, alteration or modification_ Such plans and specifications must be sufficiently detailed to permit the owner of Lot 1 RI to determine specifically the nature and appearance of the proposed change, alteration and modification. The owner of Lot 1R1 shall have ten (10) business day's to review such pians and speciiFications and to approve or disapprove such plans and specifications in writing stating specifically such aspects of the plans and specifications of which the owner disapproves_ If the owner has not responded in writing by the end of the tenth business day after such detailed plans and specifications have been delivered to the owner of 4 569567.3 2/SP3/55515i01=09152000 Lot IRI, then the plans and specifications in the form submitted to the owner of Lot IRI shall be deemed approved. No increase of the buildinb on the Boy Scouts Tract above 101,500 gross square feet will be approved by the owner of Lot IRI nor will any curb cuts from the parking lot to Kixkwood Boulevard or Sazn School Road be approved by the owner of Lot IRI nor will any additional parking spaces be allowed on the Boy Scouts Tract outside the Mutual Parking Area and any plans or specifications for such changes are hereby disapproved. Notwithstanding the approval process set forth above, no such plans or specifications shall ever be deemed approved even if the owner of Lot 1R1 wholly fails to respond to such a request for approval. 9. The owner of the Boy Scouts Tract shall maintain the landscaping, including the existing bike and bike trail, on the Boy Scouts Tract to a level consistent with the landscaping on Lot IRl . If the owner of the Boy Scouts Tract fails to so maintain the landscaping by, for example and without limitation, (i) failing to regularly mow the grass and trim the trees and shrubs, (ii) failing to appropriately water and fertilize the trees, shrubs, and grass, (iii) failing to replace trees, shrubs, and grass that die or decline significantly, then, after thirty (30) days written notice to cure such failure(s), the owner of Lot IRI may enter upon the Boy Scouts Tract to undertake such activities and the owner of the Boy Scouts Tract shall reimburse the owner of Lot 1 RI for the reasonable costs of such maintenance and replacement within ten (10) days of receiving a bill for such costs from the owner of Lot IRI. 10. The restrictive Covenants set forth herein shall run with the land and shall exist for the benefit of the present and future owners of the Property. 5 569567,1?JSP3155 IR'DIO2109152000 GENERAL PROVISIQTIS 11. The owner(s) of Lot IRI, Lot 2R or the owner of the Boy Scouts Tract may each assign its respective rights and responsibilities hereunder to a third parry, including any owner of a subdivided portion of Lot 1R1 or Lot 2R, by filing a written notice of such assignment in the Real Property Records of Tarrant County, Texas, and delivering a copy of such assignment to the owner of Lot 1R1 or Lot 2R or the Boy Scouts Tracts, and each of their successors and assigns, as appropriate, whereupon all such rights, duties and obligations ofthe owners) of Lot IRI or Lot 2R shall pass to such assignee and the prior owner of Lot IRI or Lot 2R or the Boy Scouts Tract shall be relieved of any and all such duties and responsibilities. 12. Each party shall have the responsibility for obtaining and maintaining insurance with respect to such portion of the property covered by any easement granted herein by said party. 13. Each party shall have the responsibility for payment of ad valorem taffies with respect to such portion ofthe property coveredby any easement grantedherein which is owned by said party. 14. No owner of Lot 1R1, Lot 2R or the Boy Scouts Tract shall be responsible to any of the other parties for whose benefit the easements or restrictive covenants created herein are intended or to any of the agents, servants, partners, visitors, invitees or employees of such parties or to any person whomsoever, for any injury to any person or damage to property on or about the aforesaid property, unless caused by the negligence, gross negligence or willful misconduct of such owner or its agents, servants or employees. 15. The easements hereby created are not public easements, but are permanent private easements for the use and benefit of the owners of Lot 1R1, Lot 2R and the Soy Scouts Tract and their respective tenants, customers, employees, business invitees, licensees, contractors and subcontractors. 564567_IZSP3I555I&(01021091520DO 16. The restrictive covenants, access rights and parking rights contained herein are specifically enforceable. 17. The terms and provisions set forth herein shall be binding upon and inure to the benefit of the owners of Lot 1R1, Lot ZR and the Boy Scouts Tract and their successors and assigns_ The Town of Westlake must approve in advance any amendments to this Agreement. 18. Words of any gender shall be held and construed to include any other gender, and words in the singular number shall be held and construed to include the plural and words in the plural number shall be held and construed to include the singular, unless the context otherwise requires.
