RESOLUTION NO. 23-19
A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF WESTLAKE,
TEXAS, AUTHORIZING THE MAYOR TO FINALIZE AND EXECUTE AN
AGREEMENT WITH BRODIE MODULAR TO REPLACE THE SIX CURRENT
MODULAR BUILDINGS WITH TWO MODULAR BUILDINGS OF
APPROXIMATELY 12,500 SQUARE FEET WITH INTERIOR CORRIDOR
LOCATED ON THE WESTLAKE ACADEMY CAMPUS FOR A TOTAL COST OF
$3,500,000.00; FINDING AND DECLARING SAID PURCHASE TO BE EXEMPT
FROM COMPETITIVE BIDDING PURSUANT TO TEXAS LOCAL GOVERNMENT
CODE SECTIONS 252.022(a)(2) and 252.022(a)(7); ADDING A SEVERABILITY
CLAUSE; AND DECLARING AN EFFECTIVE DATE AND AUTHORIZE TOWN
STAFF TO MAKE FUNDING CHANGES NOT TO EXCEED $25,000.00 ON THIS
PROJECT.
WHEREAS, the Town of Westlake owns and operates the Westlake Academy and provides
facilities for Town and Academy use; and,
WHEREAS; the replacement of the current modular units will improve the learning and
teaching environment; and,
WHEREAS, the two new modular buildings will include, 12 classrooms, interior corridor,
restrooms and office space; and,
WHEREAS, upon research and verification, the Town Council hereby determines that Brodie
Modular to be the sole source provider meeting the specifications and components required by
the Town of Westlake; and
WHEREAS, the Town Council hereby finds and declares that the current modular buildings
are in need of being fully replaced prior to August 15, 2023, in order to protect the public health
and safety of students, teachers, administrators, visitors, parents, and residents; and
WHEREAS, Brodie Modular is the sole source provider that can provide the specific modular
buildings and have same constructed and operational on or before August 15, 2023; and
WHEREAS, the Town Council hereby declares that time is of the essence in the replacement
of the current modular buildings with the modular buildings to be provided and constructed by
Brodie Modular;
WHEREAS, the Town Council finds that the passage of this resolution is in the best
interest of the citizens of Westlake.
NOW, THEREFORE, BE IT RESOLVED BY THE TOWN COUNCIL OF THE
TOWN OF WESTLAKE, TEXAS:

SECTION 11 That, all matters stated in the Recitals hereinabove are found to be
true and correct and are incorporated herein by reference as if copied in their entirety.
SECTION 2: That the Town Council of the Town of Westlake hereby authorizes the
Mayor to finalize and execute the agreement with Brodie Modular.
SECTION 3: If any portion of this Resolution shall, for any reason, be declared
invalid by any court of competent jurisdiction, such invalidity shall not affect the
remaining provisions hereof and the Council hereby determines that it would have adopted
this Resolution without the invalid provision.
SECTION 4: That this resolution shall become effective from and after its date of
passage.
