RESOLUTION NO. 04-53
A RESOLUTION OF THE BOARD OF ALDERMEN OF THE TOWN OF
WESTLAKE, TEXS, AUTHORIZING THE TOWN MANAGER TO ENTER
INTO A CONTRACT WITH TDINDUSTRIES RELATING TO THE HVAC AND
HEATING SYSTEM.
WHEREAS, to maintenance the HVAC and Heating system which
allows us to provide early detection of adverse operating conditions in order to avoid
costly equipment failures., and
WHEREAS, we have developed an agreement, attached hereto as
Exhibit "A", establishing with TDlndustries to provide planned maintenance to the
Westlake Academy and the Town of Westlake, and
WHEREAS, the Mayor, Board of Aldermen and Town staff of the Town
of Westlake, Texas, are committed to providing a safe climate for it's students and
employees hereby deem it to be of the utmost importance to the Town of Westlake and
TDIndustries to actively participate and heretofore execute said Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE TOWN OF WESTLAKE, TEXAS:
SECTION 1: The Board of Aldermen of the Town of Westlake, Texas, hereby
authorizes the Town Manager to enter into an agreement with TDlndrustries relating to
the planned maintenance to HVAC and Heating systems, attached hereto as Exhibit "A"..
SECTION 2: The annual twelve month cost as per said agreement, $7,545.00,
has been calculated in the 2004-05 budget.

At the time of scheduled inspections and for the equipment listed on the attached pages, TDIndustries agrees to perform the
Planned Maintenance tasks described on the following pages. Upon acceptance of this agreement you will qualify for a
preferred labor rate of $74.00 per hour wkh a $72.00 Destination charge per service call. This benefit also includes no
overtime charges with any service calls related to your covered HVAC equipment.
TDIndustries will make the following number of Planned Maintenance Inspections over a total of scheduled site visits during
each term of this agreement. The Air Conditioning and Heating inspections include equipment startup and shutdown.
® PLANNED MAINTENANCE (PM)
❑ FULL MAINTENANCE (FM)
Inspections shall be scheduled by TDIndu,,;tries and will be based on manufacturer's recommendations; equipment location;
application and type; and TDIndustries experience. A service report will be presented after each service call for your records
that reviews the maintenance and repair work completed.
Beginning with the effective date, the customer agrees to pay, in advance, for the service described herein according to the
payment schedule shown above. This agreement shall continue in effect unless either party gives written notice and confirms
their intention not to renew and it is receiv �d by a minimum of thirty days prior to the effective date. TDIndustries may
annually adjust any charges for ongoing maintenance and services. This adjustment will be based on the Service Consumer
Price Index a any unusual local increase:; in labor and material costs. This agreement is not valid or binding until accepted
by T ustr . ERMS AND CONDITIONS ARE A PART OF THIS AGREEMENT.

DESCRIPTION OF SERVICES PROVIDED UNDER THIS AGREEMENT
PLANNED MAINTENANCE (PM)
This Planned Maintenance Agreement is to provide services for the equipment referenced as "Equipment Covered'. Planned
Maintenance coverage can provide early detection of adverse operating conditions in order to avoid costly equipment
failures. Upon approval, all parts and labor necessary to repair the equipment will be provided with an additional charge to
the customer. Emergency service requests will be given a preferred -customer response and will be billed at prevailing
service rates. See Terms and Conditionj,
FULL MAINTENANCE (FM)
This Full Maintenance Agreement is to p-ovide services for the equipment referenced as "Equipment Covered". Full
Maintenance coverage provides for all la )or, parts, material and miscellaneous expenses associated with maintaining and
repairing the equipment identified in this agreement. If applicable, this agreement assumes that the equipment listed is in
good running, maintainable condition and eligible for a Full Maintenance Agreement. If on first inspection, repairs are found
necessary, such repair charges will be sutmitted for owner's approval. If these repairs are declined, those items will be
eliminated from the agreement solely at t ie discretion of TDIndustries and the price of the agreement will be adjusted in

• Check condition and tension of conde kser fan belts (if
applicable).

Customer Agrees:
1. To provide access to all equipment c iring normal working hours.
2. To accept the judgement of TDIndu ries as to the best means to be employed for any corrective or repair work and as to
the operation of the equipment.
3. That any service performed by anyo: e not authorized by TDIndustries will release TDIndustries from all obligations and
cause any warranties provided under this agreement to become null and void.
4. That if customer requests or requires aintenance inspections to be made on overtime, that customer will pay the then
prevailing difference between regula and overtime rates for labor performed.
5. Customer agrees to make payment it advance for services described. If customer defaults on payments, TDIndustries
will notify customer, and may cance he contract for non-payment.
6. The customer acknowledges that TD dustries' employees are a valuable asset to TDIndustries. The customer agrees to
pay TDIndustries an amount equal tc 12 months of salary for each TDIndustries employee who worked at the customer's
facility that is then hired by the custc er at any time during the term of this Agreement and for 60 days thereafter. In
addition, the customer agrees to reimurse TDIndustries for all costs associated with any training TDIndustries provided
to such employee during the three ye rs before the date the customer hires such employees.
