RESOLUTION NO. 05-26
A RESOLUTION OF THE BOARD OF ALDERMEN OF THE TOWN OF WESTLAKE,
TEXAS, AUTHORIZING THE TOWN MANAGER TO ENTER INTO AN
AGREEMENT WITH SPARKS SYSTEMS FOR THE PURCHASE, INSTALLATION,
AND CONTINUATION OF A FIXED BASE METER READING PILOT PROGRAM,
ON BEHALF OF THE TOWN OF WESTLAKE, TEXAS.
WHEREAS, the Board of Alderman finds that the Fixed Base meter reading
construction improvements benefit the public; and
WHEREAS, the Board of Alderman finds that the passage of this Resolution is in the
best interest of the public.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE
TOWN OF WESTLAKE, TEXAS:
SECTION 1. The above findings are hereby found to be true and correct and are
incorporated herein in the entirety.
SECTION 2. The Board of Aldermen of the Town of Westlake, Texas, hereby approve
the Agreement with Sparks Systems relating to the Fixed Base meter reading pilot program,
attached hereto as Exhibit "A"; and further authorizes the Town Manager to execute said
agreement on behalf of the Town of Westlake, Texas.
SECTION 3. The construction cost of this project, has been adopted in the 2004/2005
budget.

Meter Communications Pilot Program

INTRODUCTION
In accordance with discussions with Town officials, Sparks Systems, LLC
proposes a pilot program to demonstrate proof of concept for a network for
communications, control, and water utility meter reading using the Sparks
Systems SRS -520 Fixed Base radio system. This document sets forth the scope
of this assignment, the active cooperation between Westlake and Sparks
Systems to enhance and adapt the capabilities of the system to provide certain
features desired by Westlake.
SYSTEM CAPABILITIES
The system will provide nightly download of data from all transceivers (radios) in
the system upon command from a central location, yielding water usage
information in fifteen -minute increments for the last twenty-four hours. A comma -
delimited text file with a date -incremented file name will be generated for each
meter in the pilot system during each evening's download.
The system shall also utilize a sophisticated GPS system with aerial
photographs that shows the location of each meter in the system. Overlays can
be developed that shows maps of the meter system and other capital equipment
systems as desired.
Each transceiver has an RS -232 serial port that can communicate with
other serial devices such as sensors, SCADA systems, PLC's, etc. and also has
two programmable outputs suitable for driving high current loads such as relays
or valves.
Data logging can be configured for event logging by time/date stamp, useful for
control points like storage tank covers, fire hydrants, Homeland Security uses,
etc.
PILOT SITE
The pilot will focus on providing communication between water meters in
the Carpenter Addition and the municipal office. The addresses that will be

This bid encompasses installation of the base station equipment, one
repeater, seven single meter radios, four dual meter radios, and fixed network
route software installed for server use. Westlake will need to provide a twenty
amp 110 volt AC service at the repeater location at junction of Ottinger and
Mahotea Boone twenty yards South of the Duct Bank access on the East side of
Ottinger. Any trenching, conduit, wire, metering and disconnect facilities are not
included in this bid.
Six hours of additional labor are included in this bid for testing repeater
links between lift station locations, country club, fire station, and municipal offices
before the equipment is permanently installed, if required.
The attached quote outlines all the details of the hardware, software and
labor required to install this project. Installation, programming and testing will
take approximately two weeks. Payment is due upon completion and acceptance
by Westlake.
All future software upgrades are included as a part of the annual software
license fee. The custom integration fees included in both this Demo Quote and
the Pricing Analysis for the remainder of the project can be used to cover the
development of all interfaces.
Tech support will on a per call basis for the first year. After that, a mutually
acceptable annual amount will be agreed upon.
INSTALLATION AND TESTING
Sparks Systems shall install all AMR system components in a neat and
workmanlike manner using technicians trained for such work. The radios shall be
attached to the meters with watertight connectors.
Sparks Systems shall test each radio installation to confirm proper
operation and reading. All software shall be thoroughly debugged. The interface
with the billing software will be clearly demonstrated in the next phase.
TECH SUPPORT
Tech support during this pilot is a mutual effort of both Sparks Systems
and the Town of Westlake to prove the viability of this, as yet, un -deployed
system. Both parties will extend reasonable effort to work through technical
issues that may arise. Westlake staff will provide hands-on testing, assessment
and corrective measures to the best of staff's ability. Sparks' staff, who have an
inherently greater understanding of the components involved, commits to working
closely on all technical issues. This includes on-site visits to deal with support
challenges. Every reasonable effort will be made by Town of Westlake staff to
limit the amount of on-site assistance required of Sparks' staff to keep this
system operational.
There will be no charge for Sparks' assistance during the pilot program.
However, after the pilot is concluded, regular tech support fees will be charged.
TRAINING
Sparks Systems shall conduct such training of water and related
personnel as desired by the Town.
WARRANTY
See attached warranty.
DOCUMENTATION
Sparks Systems shall provide documentation of AMR radios installed,
including address, meter reading, radio serial numbers, dual installations, etc.
INSURANCE COVERAGE
We will carry Workers Compensation and Employer's Liability insurance
and Comprehensive General Liability insurance covering all our operations.
Automobiles will carry Automobile Liability insurance. You will be named as an
additional insured under the General Liability policy for this assignment.
PROVISION FOR RETURN
It is the strong desire of both Westlake and Sparks Systems that their system
fully meets Westlake requirements and both parties pledge their strong efforts in
an attempt to resolve promptly any problems that reduces Westlake's satisfaction
with the system.
This Pilot is designed to demonstrate Sparks Systems capacity, over a six (6)
month period of time, to:
• After a 30 day startup and debugging period, consistently collect in a
server repository (Sparks Software on Westlake Server) hourly reads from
15 water meters with a minimum of 98% reliability, to be defined as no
more than 73 unrecoverable missed reads during nightly downloads on
any given meter during the remaining five (5) months of the testing period.
• Deliver stable server software that reliably warehouses this data, either
provides a self-contained backup strategy or may be reliably' backed up
with the Town's existing Veritas software, and is reasonably bug -free.
• Ultimately provide, by the last two (2) months of the trial period, a
complete process that is at least as efficient in Westlake man-hours to
maintain and support as the traditional drive by alternative.
In the event that the Town of Westlake determines that the above criteria have
NOT been met by the end of the Pilot term, The Town of Westlake reserves the
right to return the system to Sparks Systems for a refund of the cost of all Sparks
hardware, license fees and software less a 10% restocking fee for a total refund
of $8,000.
