RESOLUTION NO. 06-16
A RESOLUTION OF THE BOARD OF ALDERMEN OF THE TOWN OF WESTLAKE,
TEXAS, AUTHORIZING A THIRTY-SIX MONTH MAINTENANCE AGREEMENT
FOR SECURITY CAMERAS AND DOOR ALARM SYSTEM, PAYABLE ANNUALLY,
WITH HENRY BROTHERS ELECTRONICS.
WHEREAS, the Board of Aldermen desires to maintain the good working condition and
prolong life of the security cameras and door systems which allow Town and Academy officials
to view and record activity with the thirty on-site cameras and the alarm systems for all Town
and Academy doors; and
WHEREAS, the Board of Aldermen finds and agrees with the proposed maintenance
agreement, attached hereto as Exhibit "A", with Henry Brothers Electronics to provide routine
maintenance and associated repairs to restore the equipment and systems to proper operating
order; and
WHEREAS, the Board of Aldermen and all Town and Academy Staff, have been
committed to providing a safe environment for all citizens, students and employees, and find the
passage of this Resolution is in the best interest of the public; and
WHEREAS, the cost of this agreement has been included in the 2005-06 adopted
Budget.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF
THE TOWN OF WESTLAKE, TEXAS:
SECTION 1: The above findings are hereby found to be true and correct and are
incorporated herein in the entirety.
SECTION 2: The Board of Aldermen of the Town of Westlake, Texas, hereby approves
the Agreement with Henry Bros Electronics relating to the routine maintenance and repair of the
security cameras and door alarm systems, attached hereto as Exhibit "A"; and further authorizes
the Town Manager to execute the agreement on behalf of the Town of Westlake, Texas.

STANDARD MAINTENANCE AGREEMENT
This Agreement is made as of the date above between the customer identified above ("Customer") and Henry Bros.
Electronics, 2100 Hwy 360 — Suite 2101 Grand Prairie TX 75050, (972) 988-8887 ("HBE").
1. EQUIPMENT TO BE MAINTAINED
Customer owns the following equipment:
Equipment is listed on Page 4-5 of this agreement.
This agreement calls for HBE to provide labor to
troubleshoot, repair, swap -out or replace the above
equipment when troubles are identified by the Customer
as the equipment is being used, or by HBE in the course
of performing maintenance.
II. MAINTENANCE PLAN
(A) Services to be Provided by HBE. BBE shall:
(1) carry out at least two visits during the year
for the purpose of performing preventive maintenance
and evaluating system performance and training operators
on the system;
(2) on identifying a defect or being notified any
part of the system is not performing properly, provide on-
site technical support, perform diagnostic tests, isolate
defects and provide on-site, bench or factory repairs, as
appropriate;
(3) if called for above, provide remote
diagnostic help to operators for problem identification;
(4) from time to time, if appropriate,
recommend purchase of on-site spares for proper
maintenance response and recommend changes to reduce
maintenance costs;
(5) in the case of renovations by Customer -
provided electricians, act in a consulting role to
coordinate the installation and perform final adjustments
and optimization; and
(6) locate support and service manuals, as -built
drawings and documents and secure factory training for
the Customer's operators.
To the extent feasible, these services shall be
performed during regular maintenance visits. HBE will
not be required to violate any local union jurisdiction.
If this Agreement indicates that spares are to be kept
at the Customer's location, HBE shall recommend a list of
equipment including repair parts, boards and components
for the Customers approval and purchase. This list shall
become the standard complement of on-site spares to
allow the repair of the system within the Customer's
desired response time. These spares shall be maintained
under the terms of this agreement but without additional
fee until they exceed their useful life. HBE shall
inventory the spares, service equipment and tools, site
documentation and manuals and maintenance records in
space provided by the Customer.
(B) Material to be Provided by HBE. HBE shall
provide parts, material, tools and unless otherwise noted,
equipment to repair and/or restore the Customer's
equipment to proper operation.
(C) Customer Responsibilities. The Customer shall
be responsible for:
(1) determining that any item of equipment is
not operating properly, and notifying HBE of the need for
repairs;
(2) providing proper electrical power and
outlets for the equipment and a clean operating
environment within the rated operating temperatures,
humidity, vibration, noise, RF, and lighting;
(3) if remote diagnostic help is called for above,
providing a modem and phone line for remote

interconnect to the Customer's system for remote
diagnostic help to operators.
(4) performing such routine maintenance as
keeping the equipment clean and replacing printer ribbon
and paper, keeping doors and door closers properly
maintained and replacing light bulbs in security closets;
(5) providing access to equipment and facilities
as necessary; and any ladders, lifts, heat, light and power;
(6) issuing any required card access badges to
be issued to the HBE technicians (which will be returned
upon HBE's termination of an employee or upon
termination of this agreement);
(7) proper maintenance of data; i.e., periodic
system back-ups and safe keeping, purging the history
files to free up the normal transactions, and keeping up
with data entry and reports so that the system can
properly operate; and
(8) electrical installation and any required
modification to walls, doors, hinges, etc,
The Customer understands that the use of diskettes
and videocassettes, which the manufacturer has not
approved, may reduce equipment life and quality of data
storage.
If this Agreement provides that spares are to be kept
at the Customer's location, Customer shall provide a
maintenance area with adequate security to house spare
parts and maintenance equipment.
(D) Time and Place of Maintenance. All regular
work shall be performed by non-union workers during
normal working hours (Monday through Friday, 8:30 AM
to 4:30 PM, except Holidays). Emergency service, where
applicable, shall be provided in the event that critical
failures render the system inoperable. Equipment shall be
serviced at the site of the fixed equipment at FIBE's
option, or at the service shop in cases of non -fixed
equipment. HBE shall respond to Customer request for
service within one day if the nature of the problem
dictates. Emergency service shall be provided within four
(4) hours.
BE HBE FEES
(A) Basic Fee for Periodic Maintenance and
Standard Support and Repairs. The fee for hardware
maintenance is set forth on page 1 of this Agreement.
Unless specifically excluded below, this fee includes
labor, parts, travel time, expenses, regular freight
(overnight is billable) and repairs. Serviceable life on
equipment will be at least 1-3 years after installation.
It does not include repairs of equipment not listed on
the Equipment List, or which is beyond its serviceable
life, or has become defective or inoperative because of
accidents, physical damage, misuse of the equipment,
coffee spills, theft, Acts of God, floods and fires. For this
purpose, misuse includes but is not limited to jamming
cassettes into the VCRs, misfeeding printers, abusing
keyboards, using incorrect diskettes or video cassettes, or
re -using video cassettes too long (recommended
replacement is every 3 months and at least every
6 recordings in the time lapse mode).
When the repair frequency for a particular piece of
equipment becomes four times in a two-month period,
indicating the item is beyond its serviceable life, HBE
will recommend replacement instead of repair.
(B) Fee for Software Maintenance and Upgrade.
The fee for software maintenance and upgrades is set
forth at the beginning of this Agreement.
(C) Billing for Labor Not Included in Basic
Maintenance Fee. Any work done which is not covered
by the basic maintenance fee or annual software
maintenance fee under this agreement will be done on a
billable basis with written purchase order or proper
Customer authorization, and will become an extra charge
over and above the maintenance fee. HBE's labor rate for
non -covered work is $65.00/hour, portal-to-portal plus
parking and tolls.
(D) Replacement Equipment. Authorized
replacement equipment shall be billed at list price minus
10%. HBE replacement labor for items beyond their
serviceable life is included in the maintenance fee, but
replacement equipment is not.
IV. TERMS OF PAYMENT
(A) Maintenance Fee. The basic annual
maintenance fee will be due by the 10th day of each year.
The annual software maintenance fee is due with the first
month's fee.
(B) Payment for Items Separately Billed. Terms
of payment for items that are to be separately billed as
described in III above are net 30 days.
(C) Late Charges. A late fee of lY2% per month
will be charged on past due balances.
V. WARRANTIES
The equipment shall be maintained by HBE in
accordance with the following standards:
(A) Parts. Manufacturer's parts or parts of equal
quality shall be used.
(B) Workmanship. All work shall be of the highest
quality and shall be performed in a neat workmanlike
manner by a qualified person or persons and in
compliance with all applicable laws, rules and
regulations.
(C) Non -abuse of Equipment. The equipment shall
not be subject to abuse.
(D) Conformity with Instruction Manuals. The
work shall be performed in accordance with the

instructions in the service manual applicable to the
equipment.
(E) Tolerances for Restored Material. RBE
restored material is to be as originally manufactured and
within 5% of specified tolerances. Devices which are
subject to normal wear and loss of performance over time
such an VCRs, cameras, monitors, locks, badges,
cabinets, furniture and housings are excluded from this
warranty. Wiring and cables are excluded.
(F) No Other Warranties. Except as provided in
this section V, HBE makes no warranties, express or
implied.
VI. LIMITATIONS ON LIABILITY
HBE does not ensure continued operation of the
system, or that it will fulfill its intended purpose. The
customer's remedy for any failure of equipment or
services is limited to repair or replacement with
conforming items. Except in case of gross negligence
evincing a reckless disregard for the customer's rights,
HBE's liability, whether in contract, or tort, under any
warranty, in negligence or otherwise, shall not exceed the
purchase price paid by the customer for the equipment
and services provided by HBE hereunder (or, if this
agreement is extended, the amount so paid during the
most recent 12 -month period this agreement was in
effect); and under no circumstances shall RBE be liable
for special, indirect or consequential damages. No action
may be brought by the Customer more than one year after
the cause of action has occurred.
HBE assumes no liability for loss or damages for
failure to maintain, or delay in maintaining equipment,
due to causes beyond its control and without its fault or
negligence, including but not restricted to Acts of God,
union interruption, accidents, strikes, lockouts, quarantine
conditions, fires, floods, or unusually severe weather
conditions.
VII. INSURANCE
(A) Workmen's Compensation Insurance. HBE is
an independent contractor and solely responsible for its
employees. HBE workers are fully covered by
Workmen's Compensation Insurance.
(B) Insurance to be Maintained by Customer.
Customer shall carry sufficient insurance to protect HBE
and its workers from damage to persons or property
arising from acts of Customer or its landlord, or from the
elements, including fire and tornado.
VIII. MISCELLANEOUS
(A) Notices. All notices hereunder shall be in
writing and addressed to the parties at the addresses first
given above and sent by registered mail, return receipt
requested. Notices shall be deemed effective three
business days after mailing.
(B) Term of Agreement. This Maintenance
Agreement begins on the date stated on page 1 and
continues for an initial term of three years. After the first
year of the initial three year term, it will be automatically
extended for successive one year terms unless canceled
by either party by written notice given not less than 30
nor more than 60 days prior to the end of any term.
(C) Texas Law. This agreement shall be governed
by the laws of the State of Texas.
ID) Amendments. No revision of this agreement
shall be valid unless made in writing and signed by an
authorized representative of each parry.

Quotations Include: Software upgrades, repair and replacement of parts, trip charges due to normal
wear and tear. Service is provided M -F 08:00-17:00 excluding holidays and weekends. A minimum of
two annual preventive maintenance calls will include the testing of all batteries, door locks,
installation of any software upgrades, testing of all detection devices, and cleaning all camera
housing/lens covers (excludes the Gym roof top unit). Water repellant will be used on exterior camera
dome covers. Provide 2 -hours of on-site training.
