RESOLUTION NO. 07-82
A RESOLUTION OF THE BOARD OF ALDERMEN OF THE TOWN OF WESTLAKE,
TEXAS, APPROVING A CONTRACT WITH STRATEGIC GOVERNMENT
RESOURCES, INC. TO CONDUCT AN EXECUTIVE SEARCH FOR A NEW TOWN
MANAGER, IN THE AMOUNT OF $22,500.00; ANAUTHORIZING THE INTERIM
TOWN MANAGER TO EXECUTE D TE SAID CONTRACT ON BEHALF OF THE TOWN OF
WESTLAKE, TEXAS.
WHEREAS, it has been determined by the Board of Aldermen of the Town of Westlake,
Texas to authorize an executive search firm to conduct an executive search for a new Town
Manager; and
WHEREAS, it is deemed to be in the best interest of the citizens of the Town of
Westlake, Texas and to further meet the obligations of the Town, that the contract with Strategic
Government Resources, Inc. be hereby approved.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE
TOWN OF WESTLAKE, TEXAS:
SECTION 1. THAT, the above findings are hereby found to be true and correct and are
incorporated herein in their entirety.
SECTION 2. THAT, the Board of Aldermen of the Town of Westlake, Texas hereby
approves the contract with Strategic Government Resources, Inc. to conduct an executive search
for a new Town Manager, in the amount of $22,500.00, attached hereto as Exhibit "A"; and further
authorizes the Interim Town Manager to execute said contract on behalf of the Town of Westlake,
Texas.

Letter of Understanding
By and Between
Strategic Government Resources, Inc. and
Town of Westlake
December 15, 2007

Dear Mr. Hennig:
This letter of understanding has been submitted at your request and shall serve to
articulate and define the terms and conditions under which Strategic Government
Resources, Inc. would provide assistance to the Town of Westlake in your search for a new
Town Manager. These terms and conditions are as follows:
Strategic Government Resources shall provide the following core services:
• Conduct one on one interviews with the Mayor and each member of the Board of
Aldermen, as well as with key staff members and any designated community
leaders.
• Facilitate one Board of Aldermen work session to develop the profile.
• Develop a professionally produced electronic recruitment brochure based upon the
agreed to profile.
• Contact key city management opinion leaders via phone and email across the nation
to advise them of the opening and seek their recommendations for outstanding
candidates.
• Place ads in appropriate professional publications including the Texas Municipal
League, the International City Management Association, and Texas City Manager
Magazine.
• Identify high probability prospects and conduct follow up with those prospects to
evaluate their viability as a candidate, and encourage those who appear to be a good
match to engage in the process. This follow up will likely be by phone and email for
those out of the region, as well as in person within the region.
• Receive, track and maintain all inquiries and applications.
• Conduct a "triage" level review of all resumes, identifying those who appear to have
a high potential of being a good match and conducting initial pbone/email
conversations with the high potential candidates to narrow the list.
• Conduct preliminary phone or personal interviews with 10-12 candidates.
• Conduct Assessment of Behavioral Characteristics and Management Profiler
Assessment on each of the top group of candidates as agreed to by you. It is
estimated that 10-12 candidates will he evaluated with these assessment tools.
• Provide periodic updates to the Town, regarding the progress of the search, as
frequently as desired.
• Present you with a short list of 10-12 candidates, along with a briefing on relevant
issues related to each and assist you in selecting 3-6 of that group who you want to
interview.
• Assist in preparation of recommended interview questions and development of the
interview process.
• Conduct preliminary background checks consisting of standard criminal, civil,
credit and Google checks.
• Participate in the interviews with the candidates.
• Conduct any follow up investigation or discussion regarding any issues of concern
that may have arisen during the interview process that needs further clarification
before moving forward with a candidate.
• Assist in negotiating terms of employment.
Compensation:
• SGRI shall be compensated by the Town at a fixed fee of $22,500.
• Said fixed fee is all inclusive and no additional overhead costs or other out of pocket
expenses will be billed, except that in the event the Town shall request out of town
travel or that other unusual out of pocket expenses he incurred at the request of the
Town, said expenses will be reimbursed at the actual cost with no mark up for
overhead.
• All services detailed herein will be provided personally by Ron Holifield
• It is estimated that this search will require approximately 120 days.
• The Town will be billed in two increments, the first will be approximately 60 days
into the process, and the second will be at the conclusion of the process.
• The Town reserves the right to terminate this agreement at any time upon giving
SGRI 30 days advanced written notice. In such event SGRI will be compensated for
all work satisfactorily completed up to and through the date of termination. In
addition SGRI shall provide to the Town all information obtained during the search
process through the date of termination.
