RESOLUTION NO. 18-05
A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF WESTLAKE,
TEXAS,AUTHORIZING THE TOWN MANAGER TO EXECUTE A CONTRACT
WITH PRECISION LANDSCAPE MANAGEMENT TO PROVIDE LANDSCAPING
SERVICES FOR THE FM 1938/DAVIS BOULEVARD MEDIAN AND EAST ROW
FROM DOVE ROAD TO RANDOL MILL.
WHEREAS, the Town Council finds the landscape maintenance services will benefit
commuters and citizens and is in the best interest of residential and corporate citizens; and
WHEREAS, Westlake desires to provide residents and commuters safe and aesthetically
pleasing streets to travel; and
WHEREAS, Westlake desires to preserve the attractive landscaping installed as Town
Capital Project; and
WHEREAS,the Town Council finds that the proposed contract with Precision Landscape
Management to provide landscaping service for the FM 1938/Davis Boulevard median and east
ROW from Dove Road to Randol Mill; and
WHEREAS, the Town Council finds that the passage of this Resolution is in the best
interest of the public.
NOW, THEREFORE, BE IT RESOLVED BY THE TOWN COUNCIL OF THE TOWN
OF WESTLAKE, TEXAS:
SECTION 1: That, all matters stated in the Recitals hereinabove are found to be true and
correct and are incorporated herein by reference as if copied in their entirety.
SECTION 2: That, the Town Council of the Town of Westlake, Texas, hereby approves
the contract with Precision Landscape Management to provide landscaping services for the FM
1938/Davis Boulevard median and east ROW from Dove Road to Randol Mill , attached hereto as
Exhibit A; and further authorizes the Town Manager to execute said contract on behalf of the
Town of Westlake, Texas.
SECTION 3: If any portion of this Resolution shall, for any reason, be declared invalid
by any court of competent jurisdiction, such invalidity shall not affect the remaining provisions
hereof and the Council hereby determines that it would have adopted this Resolution without the
invalid provision.

SECTION 4: That this resolution shall become effective from and after its date of
passage.

INSURANCE - Precision Landscape Management, LP will maintain throughout the term of this Agreement,
adequate liability insurance, broad form contractual liability insurance, and worker's compensation insurance to
meet statutory requirements. Precision Landscape Management, LP shall furnish a Certificate of Insurance
describing coverage in effect,
INDEMNIFICATION - PRECISION LANDSCAPE MANAGEMENT, LP SHALL INDEMNIFY CUSTOMER FOR ANY
DAMAGES, CLAIMS OR CAUSE OF ACTION ARISING SOLELY FROM ANY NEGLIGENT ACTS OR OMISSIONS
ON THE PART OF PRECISION LANDSCAPE MANAGEMENT, LP, ITS EMPLOYEES OR AGENTS.
TERM CANCELLATION - This agreement will be in effect for an initial period of one (1) year. Contract will then
revert to a month-to-month basis until canceled. Either party may cancel the agreement with just cause during such
term upon (30) days prior written notice by certified mail to either party. Just cause is defined as either party's
failure to comply with the terms and conditions of this agreement. If this contract is canceled before a full (12)
month period, the contract will convert to a pay-as-perform basis. Cost of total functions performed will be due.
This landscape maintenance contract will begin January 1, 2018 and will terminate December 31, 2018

SCHEDULE "A"
The following constitutes the landscape management services to be performed per schedule B for Davis Medians,
Dove Road to Randol Mill Ave., Westlake, Texas 76262. This landscape management contract will begin
January 1, 2018 and will terminate December 31, 2018.
1. Mow all turf areas per schedule B and crosscut to prevent rutting and prevent grass from growing in one
direction.
2. Edge all sidewalks, curbs and planting bed areas with a fixed blade edger per schedule B.
3. Mono-filament trimmer will be used where necessary and not around trees.
4. Debris in planting beds will be removed.
5. Clippings will be cleared from concrete areas.
6. Weed control in pavement cracks.
7. Planting beds will be weeded or lightly cultivated.
8. Fertilize turf, planting areas and trees with a custom blended slow release fertilizer. At least 80% of the
nitrogen will be in a slow-release organic form.
9. Trees will be pruned to raise low-hanging limbs(64)and to keep canopies at an even height.
10. Trim shrubs and groundcover according to recommended horticulture practices.
11. Herbicide applications with the most environmentally friendly, broad spectrum and long lasting pre
emergent will be made. One(1)for over-seeded turf areas and two (2)for all other areas.
12. Any minor insect and disease problems in which the maintenance crew can treat with a backpack sprayer is
included in the contract. Problems that require a licensed chemical applicator(grubs, tree spraying, leaf
spot spraying, and fire ant broadcast bait) are additional.
13. Sprinklers will be checked to insure proper irrigation. An initial Irrigation Evaluation will determine any leaks
or damaged sprinkler heads that need to be repaired or replaced. As long as irrigation heads are set to
proper grade as per initial evaluation any damage caused by mowing crew will be repaired at no expense to
your company.
14. Seasonal color changes: Includes old plant removal, bed preparation, fertilizer and preventative spray
program. This contract does not include color.Your Landscape Consultant will assist in a seasonal
color plan for the property.Seasonal color will be installed and if not in contract billed according to quantity,
variety& size of seasonal color selected. If color is in contract and a specialty color is selected we will
charge for the difference.
Additional Landscape Maintenance Services
Additional landscape services and landscape enhancements may be recommended by your landscape supervisor
or Landscape Consultant and are also available at the request of the owner or owner's representative. At that time,
a written estimate for the work will be submitted and must be authorized in writing by the owner or owner's
representative prior to the beginning of work. Your Landscape Consultant may also provide you with a Landscape
Budget.

Government Code§ 2270.002. Provision Required in Contract
Effective: September 1, 2017
A governmental entity may not enter into a contract with a company for goods or services unless the contract contains a written
verification from the company that it:
(1)does not boycott Israel; and
(2)will not boycott Israel during the term of the contract.
The following definitions apply:
(1)"Boycott Israel"means refusing to deal with,terminating business activities with,or otherwise taking any action that is
intended to penalize, inflict economic harm on,or limit commercial relations specifically with Israel, or with a person or entity doing
business in Israel or in an Israeli-controlled territory, but does not include an action made for ordinary business purposes.
(2)"Company"means a for-profit sole proprietorship, organization, association,corporation, partnership,joint venture,
limited partnership, limited liability partnership,or limited liability company, including a wholly owned subsidiary, majority-owned
subsidiary, parent company,or affiliate of those entities or business associations that exists to make a profit.
