On July 29, 2004, the Board of Directors (the "Board") of the Texas Student
Housing-Denton Project ("TSH-DP") convened in a public meeting at the designated
meeting place in Westlake, Texas. The roll of the duly constituted officers and members
of the Board was called, which are as follows:

all of whom were present except Mr. Carter and Ms. McKean. Also present were: Mr.
Scott Bradley, Mr. Hank Smyth, Mr. Allen Moon, Mr. Pete Ehrenberg, and Ms.
Ginger Crosswy.
Vice President Blake called the meeting to order at 7:00 p.m.
Mr. Smyth explained to the Board that TSH has reworked the TSH-DP budget as
the proposed budget from JPI was unacceptable. He told the Board that JPI is scheduled
to leave the Denton property on September 30th and TSH is in the process of working
with Eaton Vance to find a new property manager. Allen Moon is drafting a letter to
Eaton Vance asking that the indenture be restructured to allow the property to receive the
funding it needs to operate. Mr. Ehrenberg presented this budget to the Board
recommending approval. After several questions there was a motion by Mr. Irvine,
seconded by Mr. Blake,to adopt the 2004-05 budget for Jefferson Commons in Denton
There was no further discussion and the motion carried unanimously.
This meeting recessed at 7:21 p.m. and reconvened at 7:55 p.m.
There was a motion by Mr. Irvine, seconded by Mr. Branum,to amend the
previously adopted budget to include a$10,500.00 amount for audit fees owed to the
Comptroller Group. There was no discussion and the motion carried unanimously.
There being no further business the meeting was adjourned at 7:56 p.m.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and
to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records
of the Board, on this the 30'h day of August 2004.
