On August 20, 2001, the Board of Directors (the "Board") of the Texas Student
Housing Corporation — San Marcos Project convened in a public meeting at the
designated meeting place in Westlake, Texas. The roll of the duly constituted officers
and members of the Board was called, which are as follows:

all of whore were present except Dr. Watson and Ms. Bush. Also present were: Mr.
Allen Moon, , Mr. Larry Williamson, Mr. Scott Bradley, Mr. Charles Haynes, Mr. Trent
Petty, Ms. Mary Midgette and Ms. Ginger Crosswy.
President Carter called the meeting to order at 6:27 p.m.
There was a motion to convene into executive session by Dr. Brooks, seconded by
Dr. Sharp. The motion passed unanimously. The Board reconvened into open session at
6:28 p.m.
There was a motion by Mr. Blake, seconded by Dr. Brooks,to approve the
minutes from the meetings held on March 19, May 7 and June 12, 2001. The motion
carried unanimously.
Mr. Petty gave the Board an update on the budget review process and a
performance report on the property. There was a lengthy question and answer session.
Mr. Petty gave the Board his recommendation to hire the firm of Whitley Penn as
the new auditors for the Corporations. Mr,Haynes spoke to the Board in regard to his
work as current auditor for the Corporatidns.
The meeting was then recessed at 7:14 p.m. The Board reconvened at 10:20 p.m.
There was a motion by Dr. Brooks, seconded by Mr. Blake, to hire the firm
Whitley Penn as the auditor for the Corporations. The motion carried with three votes
for. Mr. Carter abstained.
There being no further business to come before the meeting was adjourned at
10:22 p.m.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and
to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records
of the Board, on this the 25`x' day of September, 2001.
