On June 25, 2002, the Board of Directors (the "Board") of the Texas Student
Housing Authority convened in a public meeting at the designated meeting place in
Westlake, Texas. The roll of the duly constituted officers and members of the Board was
called, which are as follows:

Mike Farhat Member
All of who were present except Mr. Carter, Dr. Watson and Mr. Farhat. Also present
were: Mr. Bill Moon, Mr. Allen Moon, Mr. Scott Bradley, Ms. Mary Midgette, Mr.
Trent Petty and Ms. Ginger Crosswy.
Vice President Blake called the meeting to order at 7:44 p.m.
Minutes from the meeting held on June 11, 2002 were approved as presented.
There was a motion by Dr. Brooks, seconded by Ms. Bush, to authorize payment
of$650.00 to Allen Moon. The motion carried unanimously.
Mr. Petty explained the cash flow report to the Board.
Mr. Allen Moon told the Board that he would be available to meet with any
members at their convenience to answer any questions. Mr. Moon again recommended
to the Board that the Bylaws be changed to create three committees to help in the
oversight of the corporation and its properties. Those committees are an acquisition
committee, compensation to consultant committee and a management committee. There
was a discussion regarding the request made at the last meeting by Mr. Williamson for a
real estate consultant to evaluate potential property. Mr. Petty told the Board that this
function was handled through the asset managers. Mr. Allen Moon stated that the Board
would need to meet maybe the third week in July.
There being no further business the meeting was adjourned at 8:15 p.m.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and
to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records
of the Board, on this the 23 day of July, 2002.-
