On June 11, 2002, the Board of Directors (the "Board") of the Texas Student
Housing Authority convened in a public meeting at the designated meeting place in
Westlake, Texas. The roll of the duly constituted officers and members of the Board was
called, which are as follows:

All of who were present except Ms. Rogers. Also present were: Mr. Bill Moon, Mr.
Allen Moon, Mr. Larry Williamson, Ms. Mary Midgette, Mr. Trent Petty and Ms. Ginger
Crosswy.
President Carter called the meeting to order at 7:46 p.m.
Minutes from the meeting held on April 23, 2002 were approved as presented.
There was no report from the Program Administrator,
The Board decided to let the property managers lease the room for the additional
scholarship that was not awarded.
Mr. Williamson told the Board that JPI wants TSH to purchase Phase II of
Jefferson Commons at the Ballpark when it is built. He also told the Board that he is
looking into property in Lubbock.
Mr. Allen Moon recommended to the Board that the Bylaws be changed to create
three committees to help in the oversight of the corporation and its properties. Those
committees are an acquisition committee, compensation to consultant committee and a
management committee. There was a long discussion regarding hiring the addition
help to oversee the properties already on the books. Mr. Williamson suggested that the
Board consider a real estate consultant to assess new properties as well.
There being no further business the meeting was adjourned at 8:30 p.m.

to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records
of the Board, on this the 25th day of June, 2002.
