On December 20, 2001, the Board of Directors (the"Board") of the Texas Student
Housing Authority convened in a public meeting at the designated meeting place in
Westlake, Texas. The roll of the duly constituted officers and members of the Board was
called, which are as follows:

Dr. Patsy Sharp Member
Dr. John Brooks Member
Mike Farhat Member
all of whom were present except Mr. Carter, Dr. Brooks, and Dr. Watson. Also present
were: Mr. Allen Moon, Mr. Bill Moon, Mr. Larry Williamson, Mr. Trent Petty, and Ms.
Ginger Crosswy.
Vice-President Blake called the meeting to order at 5:06 p.m.
There was a long discussion concerning the acquisition and financing of Student
Housing Facilities in Austin. Mr. Allen Moon, Mr. Larry Williamson and Mr. Bill
Moon spoke to the Board regarding this matter. There was a motion by Dr. Sharp,
seconded by Mr. Farhat, approve the procedure, including the Resolution as presented,
as outlined by the consultants.
No Executive Session was needed.
There being no further business to come before the Board the meeting was
adjourned at 5:24 p.m.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and
to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records
of the Board, on this the 29`x' day of January, 2002.
