RESOLUTION NO. 12-33
A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF 'WESTLAKE,
TEXAS, INCREASING THE WESTLAKE ACADEMY FOUNDATION BOARD
MEMBER TERMS FROM TWO (2) TO THREE (3) YEAR TERMS.
WHEREAS, the Westlake Academy Foundation Board of Directors met on September
14, 2012, and discussed a proposed amendment to extend the term limits of their board members
from two (2) year terms to three (3) year terms; and
WHEREAS, the Westlake Academy Foundation Board of Directors agreed that the first
year of a director's term is more of a learning period, allowing the second and third year to be
more focused, directed, and impactful; and
WHEREAS, the Westlake Academy Foundation Board of Directors voted and approved
the term extension amendment, as recorded in the minutes of their September 14, 2012 Board
Meeting and now desire to forward this amendment to the Westlake Town Council for approval;
and
WHEREAS, the meeting at which this resolution was considered was open to the public
as required by law, and public notice of the time, place, and subject of the meeting has been
given in accordance with Chapter 551, Government Code.
NOW, THEREFORE, BE IT RESOLVED BY THE TOWN COUNCIL OF THE TOWN
OF WESTLAKE, TEXAS:
SECTION 1: That all matters stated in the Recitals hereinabove are found to be true and
correct and are incorporated herein by reference as if copied in their entirety.
SECTION 2: There will be fifteen (15) members who will serve staggered terms as
follows: seven (7) members with terms expiring on odd years and eight (8) members with terms
expiring on even years. Members with terms expiring in June 2013 upon reappointment, if
reappointed, will begin a three (3) year term. After the expiration of the terms as shown below
in Section 3 all appointments and reappointments shall be for three (3) year terms.
SECTION 3: That the Town Council of the Town of Westlake does hereby appoint the
following individuals to serve as members of the Westlake Academy Foundation board for the
term noted below:

SECTION 4: All appointments and reappoints shall be at the sole discretion of the
Town Council and any member may be removed with or without cause in the sole discretion by
the Tow Council.
SECTION 5: If any portion of this Resolution shall, for any reason, be declared invalid
by any court of competent jurisdiction, such invalidity shall not affect the remaining provisions
hereof and the Council hereby determines that it would have adopted this Resolution without the
invalid provision.
SECTION 6: That this resolution shall become effective from and after its date of
passage.
PASSED AND APPROVED ON THIS 22ND DAY OF OCTOBER 2012.
