MINUTES OF THE MEETING OF
THE BOARD OF DIRECTORS OF THE
TEXAS STUDENT HOUSING CORPORATION — DENTON PR03ECT
(AN INSTRUMENTALITY OF THE TOWN OF WESTLAKE)
January 19, 2010
PRESENT: Directors Jac Irvine, Jill McKean, Todd Robichaux, and Chuck Shultz.
ABSENT: President Jim Carter, George Ledak and General Counsel Scott Bradley
OTHERS PRESENT: Executive Director Pete Ehrenberg and Secretary Kelly Edwards.
1. CALL TO ORDER
Director Irvine called the meeting to order at 6:57 p.m.
2. DISCUSS AND CONSIDER APPROVAL OF MINUTES FROM MAY 26, 2009,
MEETING.
MOTION: Director Schultz made a motion to approve the minutes of the May 26,
2009, with revisions as discussed. Director McKean seconded the motion.
The motion carried by a vote of 4-0.
3. DISCUSS AND CONSIDER APPROVAL OF TSHC — DENTON PR03ECT ANNUAL
AUDIT FOR FY 2008-2009 PRESENTED BY PATTILLO BROWN & HILL, L.L.P.
Auditor John Manning provided an overview of the audit and answers questions.
MOTION: Director Schultz made a motion to approve the audits as presented.
Director McKean seconded the motion. The motion carried by a vote of
4-0.

4. ADJOURN
Director Irvine asked for a motion to adjourn.
MOTION: Director Robichaux made a motion to adjourn the meeting. Director
Schultz seconded the motion. The motion carried by a vote of 4-0.
There being no further business before the board, Director Irvine declared the meeting
adjourned at 7:10 p.m.
