MINUTES OF THE
BOARD OF DIRECTORS OF THE
TEXAS STUDENT HOUSING AUTHORITY
(AN INSTRUMENTALITY OF THE TOWN OF WESTLAKE)
August 13, 2015
PRESENT: President Jim Carter, Directors, Scott Bradley, Gregg Malone and Tracy
Schornack.
ABSENT:
OTHERS PRESENT: Executive Director Pete Ehrenberg and Secretary Kelly Edwards.
1. CALL TO ORDER
President Carter called the meeting to order at 5:31 p.m.
2. REVIEW AND APPROVE MINUTES FOR THE MEETING ON AUGUST 6, 2015.
MOTION: Director Schornack made a motion to approve the minutes.
Director Malone seconded the motion. The motion carried by a
vote of 3-0.1 Director Bradley abstained.

3. DISCUSS, CONSIDER AND TAKE ANY ACTION REGARDING THE HIRING OF AN
EXECUTIVE DIRECTOR, OR PROFESSIONAL SERVICES RELATED THERETO.
President Carter provided an overview of the item and read GC 2254.003 aloud to the
Board.
Discussion ensued regarding Mr. Ehrenberg's qualifications, additional contracting
options, hiring an employee, Mr. Ehrenberg's philosophical differences, Town Lake
apartments in Austin, the Secretary duties, Westlake Academy's College Counselor, and
communicating the scholarship to students at Westlake Academy.
The Board toured the TSH Executive Director's office and records storage room.
Prior the second discussion ensued regarding the calculation of the average monthly
expenses proposed, the Board presiding over a diminishing asset, reducing the
expenses, Mr. Ehrenberg's relationships with the Bond Holders, contracting with Mr.
Ehrenberg for one (1) year term, and monthly accounting processes.
MOTION: Director Bradley made a motion to not accept the Management
proposal from Mr. Ehrenberg. Director Malone seconded the
motion. The motion carried by a vote of 3-1-0. President Carter
opposed.
SECOND MOTION:
President Carter made a motion to accept the Management
proposal from Mr. Ehrenberg for a period of one (1) year.
Motion died for a lack of a second.
Director Schornack offered to take the position for a year with training from the
Executive Director and Secretary.
The Board directed Director Schornack to job shadow the Executive Director and
Secretary without an obligation until the end of August and then negotiations would
occur for contracted services and hiring an employee for Executive Director.
4. DISCUSS AND CONSIDER THE JOB DESCRIPTION AND ADVERTISEMENT OF
THE EXECUTIVE DIRECTOR POSITION.
No action taken.

5. ADJOURN
President Carter asked for a motion to adjourn.
MOTION: Director Malone made a motion to adjourn the meeting.
Director Bradley seconded the motion. The motion carried by
a vote of 4-0.
There being no further business before the board, President Carter declared the meeting
adjourned at 7:16 p.m.
