On July 23, 2002, the Board of Directors (the "Board") of the Texas Student
Housing Corporation — Denton Project convened in a public meeting at the designated
meeting place in Westlake, Texas. The roll of the duly constituted officers and members
of the Board was called,which are as follows:

Mike Farhat Member
All of whom were present except Mr. Farhat and Ms. Rogers. Also present were: Mr.
Larry Williamson, Mr. Allen Moon, Mr. Scott Bradley, Ms. Mary Midgette, Mr. Trent
Petty and Ms. Ginger Crosswy.
President Carter called the meeting to order at 11:00 p.m. It was determined that
no executive session was needed.
The minutes of the meeting held on June 25, 2002, were accepted as presented.
There was a motion by Mr. Blake, seconded by Ms. Bush, to adopt a resolution
approving a correction to the bylaws and ratifying any previous action taken. The motion
carried unanimously.
Mr. Petty told the Board that there was a letter from Drew Malloy included in their
package requesting that he be allowed to live on campus his freshman year and still be
considered for the scholarship for his second year. President Carter stated that current
policy is that the student has to live in the TSH facility to be considered for the
scholarship for the next year. The Board agreed that this policy should not be changed.
The Board decided that there would be no bills paid until the financial situation
was clearer.
There being no further business the meeting was adjourned at 11:10 p.m.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and
to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records
of the Board, on this the 27th day of August, 2002.
