On April 10, 1995 the Board of Directors(the "Board") of Texas Student Housing
Corporation convened in a public meeting at the designated meeting place in Westlake, Texas.
The roll of the duly constituted officers and members of the Board was called, which are as
follows:

all of whom were present except the following absentee(s): Bill Wolston, Carroll Schubert,
Gary G. Wall and Forrest Watson thus constituting a quorum.
The Board approved the following information and criteria for scholarships:
1. All funds will be made payable to the university/college of choice.
2. All relatives of the Board of Directors are ineligible for scholarships.
The definition of relative is "immediate family includes spouse, child, sibling,
parent, stepparent, parent-in-law; sister-in-law, brother-in-law, grandparent,
grandchild, aunt, uncle, first cousin, and any relative or other person living in
the same household as the Board member.
3. Eligibility requirements to make application:
a. Attend either Carroll ISD, Keller ISD or Northwest ISD.
h. Must be in top 25% of class
4. Scholarship criteria to be evaluated by screening committee:
a. Citizen of Westlake (will have additional weight)
h. SAT & ACT Scores
C. Leadership ability
d. Financial Need
e. Character
f Extracurricular activities
g. Volunteer work done
h. Previous paid employment
I. Personal interview
5. The following items must accompany the application:
a. Letter of acceptance from university
b. Essay of 250 words or less stating why you want and need
scholarship funds
c. High school transcript
6. Screening Committee will consist of a superintendent and at least one
Board member who will screen the applications of the students not in their
school system or in the Town where the student resides.
7. As of April 12, 1995 the total number of high school seniors in the three
districts is 837.

8. The value of each scholarship is $6,000,00.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and
to correctly reflect the duly constituted officers and members of the Board, and is hereby
certified to be a correct copy of an official copy thereof, on file among the official records of
the Board, on this 10" day of April, 1996.
