On March 12, 1996 the Board of Directors (the "Board") of Texas Student Housing
Corporation convened in a public meeting at the designated meeting place in Westlake, Texas.
The roll of the duly constituted officers and members of the Board was called, which are as
follows:

all of whom were present except the following absentee(s): William R. Branum; Bill Wolston;
Forrest Watson; Gary G. Wall, and Carroll Schubert thus lacking a quorum.
A discussion was held regarding the Westlake scholarship program benefiting students
in the Keller Independent School District, the Carroll Independent School District and the
Northwest Independent School District, including qualifications for recipients.
Several Board members asked if the Texas Student Housing Corporation could own
housing in other states. Attorney Allen Moon stated yes if they are accredited by the Southern
Association of Colleges and Universities.
Executive Session was not held.
The Board adjourned due to the lack of a quorum.
MINUTES APPROVED AND CERTIFIED TO BE TRUE AND CORRECT and to
correctly reflect the duly constituted officers and members of the Board, and is hereby certified
to be a correct copy of an official copy thereof, on file among the official records of the
Board, on this 12'' day of March, 1996.
